Abstract The most important modification to British Company Law in the last 150 years is carrying on, in which the most subversive idea is to "think small first", that is, the system arrangement should center on small company, applying exception to big company. The specific measures embrace simplifying the deciding procedure of small company; providing simplified standard articles for small company solely; simplifying capital system of small company. Reconsidering our Company Law modified in 2005, we can find that it still center on big company, and cannot distinguish big and small company. The distinguishing legislation to big and small company and the emphasizing to fully autonomy of small and medium enterprises in British Company Law will help us to improve our company law.
